Symbiosis Healthcare Plc. (GXG: SYMB) would like to confirm that an offer has been received to acquire a majority stake of the Company, subject to due diligence, valuation and shareholder approval.

The Board of Directors is reviewing this offer currently.

Symbiosis Healthcare Plc : Management Changes: New CEO appointed

Symbiosis Healthcare Plc. (GXG:SYMB), is pleased to announce the appointment of Dr. Samir Jassem Said as the Chief Executive Officer with effect from 22 April 2014. Dr. Samir holds a PhD in Medical Laser. He has more than 30 years of experience working in healthcare projects throughout Germany, Kuwait, Iraq, Qatar, Tunisia, Oman, Bahrain, UAE, and Jordan. His research and projects have been for international organizations and state departments, covering diverse areas such as Maintenance of medical equipment, military equipment, laboratory set-up and maintenance.

 

Dr. Samir will also take on the role as Chairman of the Board with immediate effect.

 

Dr. Muhammad Aleem Mirza has stepped down as the Chairman and CEO of the company. Dr. Mirza will however continue to serve on the Board until transition is complete.

 

The Board would like to thank Dr. Mirza for his efforts and leadership over the past few years.

 

The Company would also like to announce the appointment of Mr. Bhinder Singh Purewal as Non-Executive Director of the Company. Mr Purewal is the founder Director of Symbiosis Healthcare Plc.

 

The changes in management have been done with a view to facilitate the renewed efforts of the company for aggressive growth in the Middle East, Europe and Africa, through joint ventures, mergers and acquisitions.

 

The Board has retained William Albert Securities Limited to assist the Board to review proposals for joint ventures, mergers and acquisitions.

I had the privilege of spending this weekend with the Chairman of Symbiosis Healthcare Plc in Dubai.

The UAE is bidding to host the World Expo 2020 in Dubai under the theme ‘Connecting Minds, Creating the Future’. This means that the world will come back to the doorsteps of Dubai. A World Expo in Dubai in 2020 would be the first to be held in the MENASA (Middle East, North Africa and South Asia) region. Dubai Expo 2020 will be a platform for connectivity to help pioneer new partnerships for growth and sustainability for the future.

A vision to make Symbiosis right in the centre of this growth, to provide primary healthcare to all the future cities and economic clusters was discussed. It means the next few months and years would be very exciting for Symbiosis. The development of Sports City, Motor City, Mohammed Bin Rashid City are just few areas offering outstanding growth for top quality primary healthcare providers such as Symbiosis.

The challenges for growth intertwined with maintaining quality were discussed, with local teams.

Symbiosis Healthcare Plc :The flagship clinic secures approval to relocate to bigger premises in DHCC, DUBAI.

Symbiosis Healthcare Group FZ-LLC, the UAE based, clinic operating subsidiary of Symbiosis Healthcare Plc, are in the process of relocating to a bigger premises, which will accommodate more practitioners and increased volume of patients within Dubai Healthcare City (DHCC).

Symbiosis Healthcare UK Group FZ-LLC submitted a modification application requesting to relocate to the new facility. The Authorities have granted approval of facility relocation and refit.

The plan is to fit out the flagship clinic with ultra modern medical equipment, which will allow the company to maintain its leadership role in healthcare delivery in UAE.

It should be noted that expatriates form the majority of Symbiosis clients in UAE. The Company has noted a marked increase in footfall into the clinic as the economy picks up and expatriates return to the country.

This move to a new and bigger clinic is to cater for the increasing demand for the company’s services.  The Company also plans to introduce new services in response to client requirements. Details of these will be revealed as they are introduced in due course.

Appointment of New Directors

The Board of Directors of Symbiosis Healthcare Plc are pleased to announce the appointment of Dr. Samir Jassem Said, as director and Mrs Ritu Bhandari as independent non-executive  director of the company with effect from 27^th February 2013.

Dr. Samir is holds a PhD in Medical Laser, and is currently the Chairman of the Gulf Deutschland Gmbh. He has more than 30 years experience of working on projects in Germany, Kuwait, Iraq, Qatar, Tunisia, Oman, Bahrain, UAE, and Jordan. His research and projects have been for international organisations and state departments, covering diverse areas such as Maintenance of medical equipment, military equipment, laboratory set-up and maintenance, mineral and organic fertilizers, Solar energy in Kuwait, Laser powered engines, and application of lasers for the destruction of Tanks. Dr. Samir’s focus is on developing Symbiosis in the Middle-east with co-operation of strategic investors and state-governments.

Mrs. Ritu Bhandari is a Bio-medical scientist, and has over 5 years of work experience with NHS Trust Hospitals. She also holds a M.SC in Endocrinology and Reproductive Physiology. Her focus will be tp advice the Board on International expansion program, with focus on medical tourism.

Dr. Muhammad Aleem Mirza, the Chairman and Managing Director of Symbiosis Healthcare PLC, stated “The Board is delighted to welcome Dr. Samir and Mrs. Bhandari, and we are confident that they will make a valuable contribution to its deliberations”.

Dr. Mirza also announced that Non Executive Directors – Mr. Adrian Stevenson and Mr. Shamim Mirza, have decided to stand down from their positions with immediate effect.

The Board of Symbiosis Healthcare PLC acknowledged the time and commitment of both  Adrian and Shamim to Symbiosis over many years.
